SGM UPDATE

Kirriemuir Players Golf Club

Special General Meeting 18th February 2010            

At the Special General Meeting of the Players Club held in Old Parish Church, Kirriemuir, a significant number of the members of the Club heard of progress made to date in discussions and negotiations with Kirriemuir Golf Club Limited on the proposal to amalgamate the two bodies. These discussions had been going on for many years and it now seems that we are very close to achieving the merger.

 The meeting were advised that if a successful conclusion is reached then the future operation of the Golf Club would be by Kirriemuir Golf Club Limited. Each adult playing member of the Golf Club would be issued with a Redeemable Ordinary share in the Limited Company and would be entitled to a vote on all issues at Annual General Meetings of the Company, with normal decisions decided on a ‘One Member, One Vote’ basis, including future elections to the Board of Directors. Only on major issues being changes to the Articles of Association or proposal to wind up the Company, would a Poll vote be possible in which votes would be based on number of shares held.

 The meeting accepted by an overwhelming majority the principles outlined for the share structure in the Limited Company and the Management Structure for the Club as outlined to the meeting and shown on attached document, but it was stressed that all this was still the subject of negotiation with the Limited Company and there would undoubtedly be some minor changes before everything was finalised. The Committee was authorised to continue the negotiations along the lines outlined to the meeting to reach a successful conclusion as soon as possible.

 It was indicated to the meeting that the intention was that 3 more Directors be appointed to the Board of the Limited Company from the Players Club. The Committee proposed that the names put forward by the Players Club for co-option would be Russell Hamilton, Ernie Patullo and Alan Tucker and again this was approved on a overwhelming majority by the meeting.
